At the Annual General Meeting where 71.63% of the share capital was present the Mercator shareholders adopted a resolution on allocation of the distributable net profit which as at 31.12.2001 amounted to SIT 6,595,181,652. They decided that:

• part of the distributable net profit in the amount of SIT 1,283,401,600.00, deriving from undistributed net profit for year 2000 to be paid as dividend resulting in a gross dividend of SIT 400,00 per share,
• part of the distributable net profit in the amount of SIT 3,163,930,551.09, deriving from undistributed net profit for 1999 and undistributed net profit for 2001, to be allocated to other reserves from profit,
• the remaining distributable net profit in the amount of SIT 2,147,849,501.68, deriving from undistributed net profit for 2000 remains undistributed and the decision on its allocation is carried forward to the next year.With this the shareholders have also discharged the Management Board and the Supervisory Board for the financial year 2001.

The dividends will be paid in cash within 60 days after the acceptance of the resolution to those shareholders who will be registered at CSC – Central Securities Clearing Corporation on 4.6.2002.

The shareholders also adopted the amendments to the Company's Articles of Association denoting the harmonization with the novel of the Commercial Companiess Act.

For successful and responsible work in year 2001 the shareholders allocated to the members of the Supervisory Board a premium in total groos amount of SIT 31,825,039.00, and once again appointed the auditing house Pricewaterhouse Coopers, d.o.o., Ljubljana as auditor for year 2002.

All resolutions were adopted as proposed by the Management Board and the Supervisory Board of the Company.
